When you use third-party delivery services (such as DoorDash, Uber Eats, Grubhub, or similar platforms) to order from Piada Kitchen, your interaction with those platforms is governed by their respective terms of service and privacy policies. Piada Kitchen is not responsible for any issues, errors, or disputes arising from your use of third-party platforms.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PIADA KITCHEN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE;
• WARRANTIES THAT DEFECTS WILL BE CORRECTED; AND

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR
• ANY OTHER MATTER RELATING TO THE SERVICES,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PIADA KITCHEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PIADA KITCHEN'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIADA KITCHEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

The foregoing limitations of liability shall apply to the fullest extent permitted by applicable law. Some states, including those with consumer protection laws that may not permit such limitations, may not allow certain limitations on liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Piada Kitchen, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising from or related to:

• Your use of or access to the Site or Services;
• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law or regulation;
• Your infringement or misappropriation of any intellectual property or other right of any third party;
• Any User Content you submit to the Site; or
• Your negligence or willful misconduct.

We reserve the right, at our expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such matter. 12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Piada Kitchen is registered and operates, without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding arising under or related to these Terms that is not subject to arbitration pursuant to Section 13 shall be brought exclusively in the federal or state courts located in the applicable jurisdiction in the United States where Piada Kitchen's principal place of business is located. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

You agree to comply with all applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) governing unfair or deceptive acts or practices, the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Electronic Communications Privacy Act, and the CAN-SPAM Act.

13. Dispute Resolution and Arbitration

13.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") shall be resolved by binding individual arbitration, not in a class action or other representative proceeding. You and Piada Kitchen each waive the right to a trial by jury and the right to participate in a class action lawsuit or class-wide arbitration.

13.2 Arbitration Procedure

Arbitration shall be conducted by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (AAA), or such other arbitration body as mutually agreed upon. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Opt-Out Right

You may opt out of the mandatory arbitration agreement by notifying us in writing within thirty (30) days of first accepting these Terms. Your opt-out notice must be sent by email to [email protected] with the subject line "Arbitration Opt-Out" and must include your full name, address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, any Disputes will be resolved in accordance with Section 12 above.

13.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PIADA KITCHEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.5 Informal Dispute Resolution

Before initiating any formal arbitration or legal proceeding, you agree to first contact us at [email protected] and provide a written description of the dispute, your name, contact information, and proposed resolution. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed with formal arbitration.

14. Term and Termination

14.1 Term

These Terms shall remain in full force and effect while you use the Site or Services. Certain provisions of these Terms, by their nature, shall survive termination, including but not limited to provisions relating to intellectual property, disclaimers, indemnification, limitation of liability, and dispute resolution.

14.2 Termination by You

14.3 Termination by Piada Kitchen

• Violation of any provision of these Terms;
• Conduct that is harmful, offensive, fraudulent, or illegal;

In such events, we will make reasonable efforts to notify you and resume Services as promptly as practicable.

No waiver of any term, condition, or provision of these Terms shall be deemed a further or continuing waiver of such term, condition, or provision, or a waiver of any other term, condition, or provision.

21. No Third-Party Beneficiaries

These Terms are intended solely for the benefit of the parties hereto and are not intended to confer third-party beneficiary rights upon any other person or entity, except as expressly provided herein.

22. Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms without our prior written consent. Piada Kitchen may freely assign, transfer, or delegate these Terms or any rights or obligations hereunder, in whole or in part, without restriction. Any purported assignment in violation of this section shall be null and void.
